Why it matters
When a supplier partially funds a loyalty program - for example reimbursing part of the cost of points earned on that supplier's promoted products - retailers must work out whether they still carry the full points obligation to the customer with a separate receivable from the supplier, or whether the reimbursement instead reduces the transaction price the retailer recognizes on the underlying sale. Getting this gross-versus-net question wrong overstates or understates both the loyalty contract liability and reported revenue, and coalition or multi-brand loyalty schemes add further complexity because more than one party may have obligations or funding roles in the same points pool. This is a genuinely underdeveloped area of IFRS practice with limited authoritative guidance specific to supplier-funded or coalition loyalty arrangements, so conclusions here rely heavily on general principles (who controls the obligation to the end customer, and whether the supplier payment is a reduction of the retailer's cost or a form of variable consideration affecting transaction price) applied to the specific facts of each arrangement, and reasonable preparers can reach different conclusions on similar-looking fact patterns.
Diagnostic questions
Does the retailer remain primarily obligated to the end customer to honor the loyalty points, with any supplier reimbursement treated as a separate recovery, or does the coalition operator assume the redemption obligation (making the retailer's payment a marketing cost, not a contract liability)? Is the standalone selling price of points still estimated using the retailer's own redemption experience, or does the coalition scheme's broader catalogue change the estimate? Is the full points liability recognized gross, without netting the expected supplier reimbursement against it?
Recognition
- Identify which party remains obligated to the end customer to honor the loyalty points at redemption - if the retailer, not the supplier, retains the obligation to deliver the redemption benefit to the customer regardless of whether it later receives supplier reimbursement, this points toward the retailer recognizing the full points liability as principal for that obligation.
- Separately assess the nature of the supplier's reimbursement: determine, based on the specific contract terms, whether the payment is (a) consideration payable to the retailer that should reduce the transaction price of goods sold to the retailer or the cost of the points program, or (b) an unrelated separate arrangement (e.g., a marketing/promotional cost-sharing agreement) that does not affect the retailer's revenue recognition for the underlying customer sale.
- Where the retailer remains obligated to the customer for the full points value, recognize the full estimated points liability as a contract liability at the time points are earned, consistent with general loyalty program accounting (deferring the allocated transaction price attributable to the points).
- Recognize the expected supplier reimbursement as a separate receivable/asset only when it meets recognition criteria (e.g., is probable and can be reliably measured, per the specific contractual reimbursement terms), rather than automatically netting it against the points liability.
- For coalition programs involving multiple retailers/brands sharing a single points currency, evaluate the specific governance and settlement agreement to determine which party recognizes the liability to the end customer versus which parties merely fund or reimburse a portion of program costs - this determination should be revisited if the coalition agreement changes.
- Given the lack of specific authoritative guidance, document the judgment and the contractual basis relied upon, and apply the conclusion consistently across similar arrangements.
القياس
Measurement
Measure the full points liability using the same general approach as any loyalty program - the standalone selling price of the points (typically the discount value the customer will obtain, weighted by expected redemption probability) - regardless of the existence of supplier funding, since the customer-facing obligation is generally unaffected by how the retailer funds it internally. Measure the supplier receivable/reimbursement asset at the amount the retailer expects to recover under the specific reimbursement agreement, which will not necessarily equal any simple percentage of the points liability unless the contract explicitly ties reimbursement to points value. Given the limited specific guidance in this area, measurement conclusions should be revisited whenever the underlying commercial agreement with the supplier or coalition partner changes, and preparers should be cautious about mechanically netting the two balances given they generally represent obligations/assets vis-a-vis different counterparties (customer versus supplier).
Presentation & disclosure
Disclose: the contract liability balance for loyalty points, including any portion attributable to supplier-funded or coalition promotions, presented gross (not netted against supplier receivables) unless a specific right of set-off exists and is intended to be exercised; the receivable from suppliers/coalition partners for reimbursement of loyalty program costs, presented separately as a trade or other receivable rather than as a contra-liability; the accounting policy adopted for supplier-funded loyalty arrangements, including the basis for the gross-versus-net judgment; a description of significant coalition or multi-brand loyalty arrangements and the retailer's role (principal obligor versus cost-sharing participant); the judgment made regarding whether supplier payments reduce transaction price or are recognized as separate income/cost recovery, given the interpretive nature of this area.
Common mistakes
- Automatically netting the supplier reimbursement against the points liability to show a smaller net contract liability, obscuring the gross obligation to customers
- assuming supplier funding always reduces transaction price without examining whether the retailer, not the supplier, remains the party obligated to the customer
- failing to separately evaluate whether the supplier payment is consideration payable that reduces cost of goods versus a genuine cost-sharing arrangement unrelated to the specific sale transaction price
- applying a single blanket policy to all supplier-funded promotions without considering that contract terms (and therefore the correct treatment) can differ meaningfully between arrangements
- in coalition programs, failing to clarify contractually and in the accounts which party is the principal obligor to the end customer, leading to potential double-counting or under-recognition of the points liability across coalition partners
- treating this as a settled, low-judgment area when the accounting literature does not provide detailed specific guidance for supplier-funded or coalition loyalty schemes.
Simple example
A supermarket awards loyalty points with an estimated allocated transaction price of SAR 40,000 on sales of a promoted supplier's products, and the supplier separately agrees to reimburse the supermarket SAR 25,000 toward the cost of that promotion. Based on the contract terms, the supermarket remains solely obligated to redeem the points for its customers regardless of the supplier reimbursement, so it recognizes the full points obligation rather than netting it to SAR 15,000. Entry 1 - recognition of the loyalty points liability at the point of sale (reducing goods revenue recognized by the amount allocated to points, consistent with general loyalty program accounting): Dr Revenue (goods revenue reduced by points allocation) 40,000 Cr Contract liability - loyalty points 40,000 Entry 2 - recognition of the separate supplier reimbursement receivable (recognized as a distinct asset, not netted against the contract liability above): Dr Receivable from supplier 25,000 Cr Reduction of loyalty program cost / other income 25,000 The SAR 40,000 contract liability and the SAR 25,000 supplier receivable remain presented gross on the balance sheet as separate balances (a liability to customers and a receivable from the supplier), because they represent obligations/claims against two different counterparties, even though commercially the supermarket's net cost of the promotion is SAR 15,000. Given the interpretive nature of this area, this treatment reflects a reasonable reading of the facts as described rather than a definitive rule, and could differ if contract terms indicated the supplier payment instead reduced the transaction price of goods purchased from the supplier.
Professional judgment
This is a low-confidence, genuinely underdeveloped area of IFRS practice - there is no specific standard or detailed authoritative guidance addressing supplier-funded or coalition loyalty programs, so the analysis here relies on general principal-versus-agent and transaction-price reasoning applied by analogy, and different reasonable interpretations exist in practice. The central judgment is identifying who is obligated to the end customer versus who merely funds part of the cost - this depends heavily on the specific legal and commercial terms of each arrangement (the supplier contract, the loyalty program terms and conditions, and any coalition governance agreement), and conclusions should not be assumed to generalize from one arrangement to another without re-examining the facts. A second judgment, particularly relevant for coalition programs with multiple participating retailers, is which party (if any) is the principal obligor for the pooled points liability versus which are secondary funders - this can depend on scheme rules that are not always clearly documented, and preparers should seek to obtain and review the actual coalition agreement rather than relying on general industry assumptions. Given the low confidence in this area, preparers should document their specific fact pattern and reasoning clearly and consider obtaining specific professional advice for material coalition or supplier-funded loyalty arrangements.
