Why it matters
Bill-and-hold is one of the highest-risk revenue recognition areas because it allows revenue to be recorded before physical delivery, making it a natural target for aggressive period-end revenue acceleration; auditors and regulators scrutinize year-end bill-and-hold transactions heavily precisely because the conditions are judgmental and easy to assert but hard to independently verify without contemporaneous documentation. For manufacturers with custom or made-to-order products where customer site readiness genuinely lags production completion, correctly applying the narrow conditions protects against both an overly conservative delay of legitimate revenue and, more commonly, premature recognition that overstates revenue and receivables and can trigger restatement or audit qualification if conditions are later found not to have been met.
Diagnostic questions
Did the request to hold goods originate genuinely from the customer's own logistical constraints, or does it appear driven by the seller's desire to record revenue before period end? Are the goods physically segregated, tagged to that specific customer, and ready for immediate transfer? Could the goods still be redirected and sold to another buyer, and is storage being charged as a separate distinct service?
Recognition
- First confirm control has otherwise transferred under the normal five-step model - bill-and-hold is only relevant once this threshold question is addressed.
- Verify the reason for holding goods is substantive and originated from the customer, not a seller-side convenience to accelerate revenue near a period end.
- Confirm the goods are identified separately as belonging to the customer (physically segregated, tagged/labeled to that customer) - undifferentiated stock in general inventory does not qualify.
- Confirm the product is currently ready for physical transfer to the customer (complete, in deliverable condition).
- Confirm the entity does not have the ability to use the product or to direct it to another customer.
- If all four indicators are met, recognize revenue for the goods at that point notwithstanding continued physical possession by the seller; if any indicator is not met, do not recognize revenue until actual physical delivery/transfer of control occurs.
- Where custodial storage is provided after revenue recognition, assess whether storage is a separate, distinct service with its own transaction price recognized over the storage period.
- Document the arrangement in writing (customer's hold request, segregation evidence, readiness confirmation) contemporaneously, since this is heavily scrutinized by auditors.
Measurement
Measurement basis: when bill-and-hold conditions are met, revenue for the goods is measured at the transaction price in the same way as a normal sale. What's included: if custodial/storage services are a distinct performance obligation, a portion of the transaction price (or a separately charged fee) is allocated to that service based on standalone selling price and recognized separately as the storage service is performed. What's excluded: no revenue is recognized for goods not yet meeting all bill-and-hold conditions - such goods remain in the seller's inventory at cost, not partially recognized. Subsequent measurement/re-measurement trigger: if facts change after initial recognition - e.g. the customer's hold request is withdrawn, the goods are subsequently used to fulfill a different order, or the goods are found not to have been truly ready for delivery - management must revisit whether revenue recognition was appropriate and correct the position if the conditions are shown not to have been genuinely met.
Presentation & disclosure
Disclose: the nature and terms of any material bill-and-hold arrangements, including the reason for the customer's hold request; the amount of revenue recognized under bill-and-hold arrangements during the period, if material; contract liabilities relating to any distinct custodial storage service and the pattern of recognizing that service revenue; significant judgments applied in concluding that control has transferred despite continued physical possession by the seller; written evidence retained (customer request, segregation, readiness) as part of the entity's revenue recognition documentation supporting the disclosure.
Common mistakes
- Recognizing revenue in December for goods a salesperson informally agreed to '
- hold'
- without any genuine, documented request from the customer
- leaving held goods commingled with general inventory rather than physically and systematically segregated and tagged to the specific customer
- recognizing revenue on goods that are not yet actually complete or ready for immediate dispatch, treating '
- substantially finished'
- as equivalent to '
- ready to deliver'
- continuing to use or reallocate '
- held'
- goods to fulfill other customer orders when inventory runs short, contradicting the no-alternative-use condition
- bundling a material custodial storage service into the goods price without separately identifying and deferring it, accelerating revenue that should be spread over the storage period.
Simple example
A furniture maker in Damietta completes a SAR 350,000 hotel furniture order in November (cost SAR 230,000); the hotel's renovation site is not ready to receive delivery until February. The hotel sends a written request asking the factory to hold the completed, inspected furniture, which is tagged with the hotel's name and moved to a segregated area of the warehouse; the factory has no ability to sell it elsewhere and confirms it is ready for immediate dispatch on request. All bill-and-hold indicators are met, so revenue is recognized in November. Journal entries in November: (1) Revenue recognition: Dr Accounts Receivable 350,000 / Cr Revenue - Furniture Sales 350,000. (2) Cost of sales: Dr Cost of Sales 230,000 / Cr Inventory - Finished Goods 230,000. If the hotel separately pays SAR 6,000 for 3 months of custodial storage as a distinct service, that amount is deferred and recognized over the storage period rather than in November: Dr Accounts Receivable 6,000 / Cr Contract Liability - Storage Service 6,000 at inception, then Dr Contract Liability - Storage Service 2,000 / Cr Storage Service Revenue 2,000 recognized each month as the service is provided.
Professional judgment
Assessing the genuineness and substance of the customer's stated reason for the hold is the central judgment: a reason driven by the customer's own logistical or site-readiness constraints supports revenue recognition, whereas a reason that appears manufactured or driven primarily by the seller's desire to record revenue before period end should be treated with skepticism. Judging whether goods are 'ready for physical transfer' requires distinguishing substantial completion from true completion and deliverability - only the latter supports bill-and-hold recognition. Determining whether the seller retains any practical ability to use/reallocate the goods requires looking beyond stated intent to actual operational practice, since a documented policy that is not followed in substance does not satisfy the condition. Whether custodial storage constitutes a separate performance obligation warranting price allocation is a judgment based on whether the storage service is capable of being distinct and is distinct in the context of the contract.
